1. About These Terms
Thank you for reading this. These Terms of Service (the "Terms") set out the basis on which Buttpad is made available to you. They cover the website at https://buttpad.fun, together with every page, interface, document, form, display and communication channel that links to or refers to these Terms (together, "Buttpad" or the "Site"). Buttpad is operated by creator ("we", "us" and "our").
We have written these Terms to be readable without a legal background, and we would rather you read them than skim them. They explain what Buttpad is, what it is not, what you may do with it, and how responsibility is divided between you and us if something does not go as expected. A number of sections limit what we are answerable for. Those sections are clearly headed and are drafted as plainly as the subject allows.
You accept these Terms by visiting the Site, by connecting a wallet or other external application to it, by submitting any information through it, or by using any feature it offers. If you do not agree to these Terms in full, please do not use Buttpad.
If you use Buttpad for or on behalf of a company or other body, you confirm that you have authority to bind it, and references to "you" include that body as well as you personally.
These Terms sit alongside any other notice, guideline or supplemental term that we publish and that refers back to them. Where a supplemental term deals with a specific feature and conflicts with these Terms, the supplemental term prevails for that feature alone and only so far as the conflict extends.
2. Meaning of Words
Defined words are used throughout. They are meant to be read widely and in line with their ordinary commercial sense.
"Site" and "Buttpad" have the meaning given in Section 1 and include any part of the Site as it stands from time to time, as varied, reduced, extended or withdrawn.
"Features" means every function, tool, form, display, interaction or capability offered through the Site, whether provided by us directly or made reachable by us, and whether or not it is presented as a distinct product.
"Submitted Material" means anything you enter, upload, attach, transmit or otherwise provide through the Site, including any name, ticker, description, image, link or other detail that you supply in connection with a Created Token.
"Created Token" means any digital token that is brought into existence on a public, permissionless network as a result of a transaction that you initiate, authorise and sign after preparing it through the Site.
"Associated Token" means the freely transferable digital collectible referred to as BUTT, together with any other digital collectible that may at any time be referred to in connection with Buttpad itself, as described in Section 11.
"External Service" means any wallet, application, network, protocol, venue, marketplace, data source, storage service, communications channel or other service that we do not operate, whether or not it can be reached from or is referred to on the Site.
"Fee Address" means the network address that we designate from time to time as the recipient of any creator fee that a Created Token gives rise to.
Headings exist for convenience and do not carry operative meaning. "Including", "such as" and "for example" introduce illustrations and never limit the words before them. A reference to any document is a reference to that document as it may be amended. Words in the singular include the plural and the reverse.
3. Who May Use Buttpad
We make Buttpad available only where doing so is lawful and only to people who are permitted to receive it. Because the relevant rules vary from place to place and shift over time, we depend on you to know your own position rather than attempting to determine it for you.
Each time you access the Site, you represent and warrant to us that:
(i) you have reached the age of majority where you live and are otherwise legally able to enter into a binding agreement;
(ii) your use of the Site and of any Feature you choose to use is permitted under every law, rule and requirement that applies to you, including those of the place you are accessing the Site from and of any place where you are resident, a citizen or a national;
(iii) you are not, and you are not acting for or on behalf of, any person or body who is subject to any sanction, designation, restriction or listing that would make your use of the Site or our provision of it impermissible;
(iv) you are not located in, ordinarily resident in, or accessing the Site from any territory in which the Site or the Feature you are using may not lawfully be offered; and
(v) you will not use the Site, and will not allow anyone else to use it, in a way that would place us in breach of any requirement that applies to us.
Buttpad is offered generally. It is not directed at, promoted to, or intended for any person to whom it cannot lawfully be made available, and no presentation of it by us or by anyone else should be read as an invitation or offer in any place where such an invitation or offer would not be permitted.
We may, at our discretion and without any obligation to do so, decline, limit or condition access from particular places or for particular people, and we may use technical or procedural measures for that purpose. Any such measure exists for our protection. It is not a ruling on your legal position, and neither its presence nor its absence releases you from the representations above. If you cannot truthfully give those representations, please do not use the Site.
4. What Buttpad Is
We have built Buttpad carefully and we try to describe it honestly. We think an accurate description is the fairest thing we can offer, so this section is deliberately direct.
4.1 A preparation interface. Buttpad is a website that helps you prepare a transaction to create a token on a public, permissionless network through an independent token creation venue that we do not own or operate. You supply the details, you review them, and you decide whether to proceed. The transaction is signed by you, with your own wallet, and is paid for by you. We do not hold your funds, we do not hold your keys, and we do not create anything on your behalf without your signature.
4.2 Creator fee designation. A Created Token, once it exists, may give rise to fees under the rules of the network or venue on which it exists. Those rules are not ours and we do not set them. Where a transaction prepared through the Site permits a recipient for such fees to be named, the Site names the Fee Address. By preparing and signing such a transaction you acknowledge and agree that any fee of that kind will accrue to the Fee Address and not to you or to any other person, that we may retain, hold or otherwise deal with anything that accrues there as we see fit, and that neither you nor any holder of a Created Token has any claim, entitlement or expectation in relation to it. Before any transaction is prepared, the Site asks you to confirm that you understand this. Please do not proceed if you do not.
4.3 Created Tokens have no function. A Created Token is a token and nothing further. We do not attach, and we do not undertake to attach, any function, utility, service, benefit, right, reward, access, distribution, return, flywheel, buyback, burn, programme, roadmap or purpose to any Created Token, whether inside Buttpad or anywhere else. Buttpad does not distribute anything to launchers or to holders of Created Tokens and does not undertake to do so. A Created Token is not offered by us as, and should not be understood as, an investment, a security, a currency, a payment instrument, a store of value or an interest in us, in Buttpad or in anything else. Anything a Created Token might mean to you, to its launcher or to anyone else arises from your and their independent conduct and not from us.
4.4 Created Tokens are yours, not ours. You are the person who creates a Created Token. You choose its name, ticker, description, image and links, and you are responsible for them and for the token. We are not the issuer, promoter, sponsor, manager or operator of any Created Token, we do not endorse any Created Token, and the fact that a Created Token was prepared through the Site does not mean that we have reviewed, approved or vouched for it.
4.5 What Buttpad is not. Unless we say otherwise in writing and in express terms, Buttpad is not offered as, and should not be relied on as, a custodian, a payment service, an exchange, a broker, a dealer, an adviser, a fiduciary, a financial institution, an intermediary, your agent, or a provider of any regulated activity.
4.6 Information on the Site. The Site displays information that may originate from external networks, from independent participants or from automated processes, including balances, counts, prices and lists of Created Tokens. That information is presented for general reference only. It may be delayed, cached, aggregated, approximated, superseded or, despite our efforts, wrong. It is not a record of anything you own or are owed.
4.7 Scope may change. What Buttpad contains and how it works may change. We may add, alter, merge, retire or discontinue anything at any time, as set out in Section 15. Descriptions of Buttpad, in these Terms or elsewhere, describe it generally and at a moment in time.
5. Wallets, Access and Security
Buttpad does not offer accounts, profiles or registration. Access is by visiting the Site and, where you choose, by connecting a wallet that you control.
We take proportionate steps to protect the integrity of the Site and the way it interacts with wallets, and we keep improving those steps. Security is nevertheless shared, and most of it sits with you, your devices, your wallet software and the care you take with them.
You are responsible for:
(a) the security and confidentiality of every key, seed phrase, passcode, device, recovery method and other means of access connected with any wallet you use with the Site, and for whatever is done with them, whether or not you authorised it;
(b) reviewing every transaction that your wallet asks you to approve before you approve it;
(c) the accuracy of everything you enter into the Site; and
(d) telling us promptly through the Site if you become aware of, or reasonably suspect, misuse of the Site or of a wallet in connection with it.
We may limit, suspend, restrict or end access where we consider it appropriate, including where we have concerns about security, integrity, misuse or compliance with these Terms, and including on a precautionary basis while we look into something.
Please understand that wallet keys and recovery phrases are, by their nature, not recoverable by anyone but their holder. We cannot restore, reset, reverse, replace or recover them, and we cannot undo anything done by a person who obtains them. Treat them as you would treat anything valuable that cannot be replaced.
6. External Services
Buttpad depends on External Services and would not function without them. That includes the wallet you connect, the network on which Created Tokens exist, the venue through which they are created, and the services that store the images and descriptions you supply. We refer to and interoperate with these services because we believe the connection is useful. Doing so is not an endorsement, a recommendation, a verification or an acceptance of responsibility.
External Services are run by independent parties under their own terms and policies. We do not control them, we do not audit them, we are not responsible for them, and we cannot promise their availability, accuracy, security, continuity, behaviour or good faith. Your relationship with an External Service is between you and that party alone.
When you connect, authorise or otherwise interact with an External Service in connection with the Site, you do so by your own choice and at your own risk. You are responsible for reading and following that party's terms, for understanding the permissions you grant and how long they last, and for withdrawing them when you no longer want them.
We may change, condition, suspend or remove any integration at any time, without notice and without liability. An External Service may also change its own behaviour in ways we did not anticipate and cannot control, and an integration that works today may not work tomorrow.
Where the Site shows information that originates from an External Service, we pass it on substantially as received. We do not verify it and we make no representation about it.
7. Acceptable Conduct
We ask that Buttpad be used honestly, lawfully and with consideration for others. The list below is not exhaustive. It illustrates the kinds of conduct we regard as incompatible with continued access, and we may act on conduct of a similar nature even if it is not listed.
You agree not to do, attempt, assist or permit any of the following:
(a) using the Site for any unlawful purpose, or in a way that would place us or anyone else in breach of a requirement that applies to them;
(b) preparing a Created Token whose name, ticker, description, image or links infringe another person's rights, impersonate a person or organisation, or are deceptive, defamatory, hateful, harassing, threatening, obscene or otherwise unlawful;
(c) interfering with, probing, scanning, disrupting, overloading or attempting to gain unauthorised access to any part of the Site, any connected system, or any data not intended for you;
(d) bypassing or disabling any security, rate-limiting, integrity, geographic or usage-control measure;
(e) using automated means to access, scrape, harvest, replicate or bulk-submit through the Site, other than by means we expressly allow;
(f) reverse engineering, decompiling or otherwise attempting to derive the source, structure or methods of the Site, except so far as that restriction cannot be enforced;
(g) copying, modifying, reproducing, distributing, selling, framing, mirroring or creating derivative works from the Site or any part of it, other than as expressly permitted;
(h) creating a false impression of association, endorsement, sponsorship or approval by us;
(i) using the Site to manipulate, distort or artificially influence any display, list, count, ranking or the experience of other users, or to spam or solicit other users in a way we consider inappropriate; and
(j) any other conduct that, in our reasonable judgement, harms the Site, harms us, harms other users, or brings or is likely to bring Buttpad into disrepute.
We may investigate suspected breaches and take any step we think fit, including removing material, withholding a Created Token from display, restricting Features, suspending or ending access, and cooperating with lawful requests. We may do so without prior notice where the circumstances call for it. We are not obliged to monitor anything, and choosing not to act in one case does not prevent us acting in another.
8. Material You Submit
You keep whatever rights you hold in your Submitted Material. We do not claim to own it.
So that Buttpad can work, you grant us a worldwide, non-exclusive, royalty-free, transferable and sublicensable licence to store, host, cache, copy, reformat, adapt, display, publish, distribute and otherwise use your Submitted Material in connection with operating, providing, securing, improving and promoting the Site. This licence exists to run the Site and lasts as long as is reasonably needed for that purpose, including for copies retained in backups, caches, archives and logs, and for material that has been shared onward by others or placed by you on a public network.
You confirm that you hold the rights needed to grant that licence and that your Submitted Material does not infringe anyone else's rights.
Please be aware that Submitted Material connected with a Created Token is, by your own instruction, published to storage services and networks that are public and outside our control. Once published there it cannot be withdrawn by us or by you. Section 16 describes this further.
We may, but are not required to, review, screen, decline, restrict, hide, remove or relocate Submitted Material where we consider it inconsistent with these Terms or otherwise unsuitable. We are not responsible for Submitted Material, and any view expressed in it belongs to the person who submitted it.
If you send us suggestions, ideas or feedback, we may use them freely, without restriction, credit or payment.
9. Our Intellectual Property
The Site, including its design, text, layout, code, compilations, names, marks and other elements other than Submitted Material and material belonging to External Services, is owned by us or by our licensors and is protected by applicable rights.
Provided you comply with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable and revocable licence to access and use the Site for its intended purpose. All rights not expressly granted are reserved. Nothing in these Terms transfers ownership of anything to you, and using the Site gives you no right in any name, mark or element that appears on it.
10. Plans, Statements and Expectations
We try to speak plainly about Buttpad, including about the fact that it is not intended to do very much. Even so, anything said about the future is said with the future's usual uncertainty.
Any statement made by us or on our behalf about plans, intentions, directions, timelines, features under consideration, or anything else that is not a present fact is forward-looking. Such statements reflect a view held at the time. They are aspirations, not commitments, promises, guarantees or offers, and they may be changed or dropped without notice. Nothing of that kind forms part of these Terms or gives rise to any obligation, and you should not act in reliance on it.
Statements made by anyone other than us are not ours. Independent commentators, community members, aggregators, automated accounts, media and other unaffiliated parties may describe, summarise, speculate about or misrepresent Buttpad or any Created Token. We do not control, adopt, endorse, verify or take responsibility for any of that, even where it is repeated widely, presented as authoritative, or appears on channels connected with Buttpad. If we did not publish it through an official channel, it is not ours.
Only the current version of these Terms, and any material we expressly publish as binding, records what we have committed to.
11. The Associated Token
This section applies only where an Associated Token is referred to in connection with Buttpad. It is included so that the position is settled in advance.
11.1 What it is. The Associated Token is a freely transferable digital collectible that exists on a public, permissionless network we do not own, operate or control. We do not offer it as, and it should not be acquired, held or understood as, an investment, a security, a share, a unit, a note, a deposit, a loan, a derivative, a managed product, a currency, a payment instrument, a store of value, or an interest of any kind in us, in Buttpad, or in any asset, revenue, undertaking or entity.
11.2 What it does not carry. Holding the Associated Token gives no ownership, equity, control, vote, distribution, dividend, redemption, repayment, priority, claim on revenue, claim on any asset, entitlement to any service, or claim of any kind against us or anyone else. It creates no relationship between us beyond these Terms and does not make us your agent, trustee, fiduciary, counterparty, adviser or partner.
11.3 No commitment to any function. If any use, feature, access, recognition or integration is described in connection with the Associated Token, that description is indicative and forward-looking and is governed in full by Section 10. We do not undertake to build, deliver, maintain, keep or continue any such use, and any that exists may be changed or withdrawn.
11.4 Independent markets and independent people. Any market, venue, price, quote, listing, pool, ranking or trading activity involving the Associated Token results from the independent conduct of independent participants on public networks. We do not operate, control, direct, coordinate, support, endorse, underwrite, stabilise, maintain, guarantee or take responsibility for any of it.
Any person may, without our knowledge, permission, involvement or ability to stop them, acquire, hold, accumulate, dispose of, promote, disparage, misrepresent, imitate or otherwise deal with the Associated Token, or act in ways that affect how it is perceived or traded. That may include conduct that is automated, coordinated, opportunistic, mistaken, reckless, deceptive or hostile, whether aimed at the Associated Token, at Buttpad, at us or at other participants. The consequences of such conduct may be sudden, severe and irreversible. They are outside our control, are not attributable to us, and are not something we are responsible for. We do not undertake to monitor, identify, counteract, remedy, compensate for or comment on any such conduct.
We likewise do not control who else holds the Associated Token, in what amount, for what reason, or what they do next. No inference about us, our conduct or our intentions should be drawn from the conduct of any other holder.
11.5 Volatility. The Associated Token may move in price quickly, substantially and without warning, may become illiquid or impossible to sell, and may cease to trade at all, for any reason or for none. Past movement says nothing about future movement. No level, range, floor, support, direction or outcome is suggested, implied, targeted or promised at any time by anyone acting for us.
11.6 Your decision alone. Any decision to acquire, hold or dispose of the Associated Token is yours, made on your own assessment and information and at your own risk. You should not acquire it expecting gain, in reliance on anything we have said, in reliance on anyone's efforts, or in reliance on Buttpad continuing to exist. Form your own view, take your own advice, and proceed only so far as suits your own circumstances.
12. Holdings and Disposal
We think it is fair to set out, in general terms, how any allocation of the Associated Token connected with Buttpad is approached, so that nobody is surprised later.
Any portion of the Associated Token connected with development, operations or related purposes may be held under restrictions on transfer or disposal. Where restrictions apply, their nature, scope, mechanism and duration are decided by us, may be implemented by any means we consider suitable, and may be varied, extended, shortened, released or replaced in response to operational, technical, market, legal or other circumstances. No particular restriction, period, method or outcome is promised, and neither the presence nor the absence of a restriction at any moment should be relied on.
Where any such portion is not restricted, or stops being restricted, it may be held or disposed of. Where disposals happen, our intention is that they be measured, spread across balanced intervals, and carried out with reasonable regard to prevailing conditions and to the wider community, in keeping with good-faith stewardship of Buttpad. Proceeds may be applied to development, maintenance, infrastructure, operations, personnel, security, community purposes and other matters connected with Buttpad or with our activities generally.
This section describes a general approach and present intention. It is subject in full to Section 10. It is not a commitment, schedule, limit, guarantee or undertaking as to timing, amount, method, proportion, use of proceeds or continuation, and it may change. Nothing in it creates any right, entitlement, expectation or claim for anyone, and nothing in it is meant to induce any decision to acquire, hold or dispose of anything.
13. Technology, Volatility and Risk
Buttpad is built on technologies that are capable and also experimental, imperfect and, in many respects, beyond anyone's control. We would like you to use it with that clearly in mind.
You acknowledge and accept that:
(a) digital tokens and the technologies around them are volatile and experimental and may change suddenly and substantially, including by losing all value permanently;
(b) public networks operate independently of us and may suffer congestion, delay, outage, reorganisation, forks, halts, upgrades, deprecation, attack or rule changes, any of which may affect anything that depends on them, including Buttpad and any Created Token;
(c) transactions on such networks are normally irreversible, so an incorrect instruction, destination or amount, a mistimed action, or an interaction with the wrong party generally cannot be undone by us or anyone else;
(d) software, including the Site, the software we rely on, the wallet software you use and software operated by others, may contain defects, vulnerabilities or unintended behaviour despite reasonable care, and such issues may be exploited by malicious actors;
(e) the legal and regulatory treatment of these technologies differs between places, is uncertain, and may change with immediate or retrospective effect, and such change may affect the Site, its Features or your ability to use them;
(f) independent third parties may behave unpredictably, adversarially, automatically or with intent to cause harm, whether toward the Site, toward us or toward you; and
(g) the Site may become unavailable, wholly or partly, temporarily or permanently, at any time.
You use Buttpad of your own free choice and you accept these risks. Do not commit anything you are not fully prepared to lose, and do not use the Site in a way that is inconsistent with your own circumstances, obligations and judgement.
14. No Advice
Nothing on the Site, and nothing said by us or for us, is financial, investment, legal, tax, accounting, regulatory or other professional advice, and none of it is a recommendation, solicitation or endorsement to enter into any transaction or to act or refrain from acting.
We do not know your circumstances and we assess suitability for nobody. No communication should be taken as personal to you. Obtain independent professional advice appropriate to your situation before acting, and remember that every decision you take is your own.
You are responsible for identifying and meeting your own obligations, including any tax or reporting obligations arising from your activity, including from creating a Created Token.
15. Availability, Changes and Discontinuation
We want Buttpad to be there when you visit and to behave as described, and we put reasonable effort into that. We cannot promise it.
The Site is provided on an "as available" basis. Access may be interrupted, delayed, degraded or suspended, whether for maintenance, updates, technical work, security, capacity, failure of a dependency, legal reasons or causes wholly outside our control.
We may, at any time, at our sole discretion and without obligation or liability to you:
(a) modify, update, reduce, restructure, rebrand, relocate or otherwise change the Site or any part of it;
(b) add, alter, condition, limit, withdraw or discontinue any Feature, integration or content;
(c) impose or vary limits on use, including limits on how often a wallet or network address may prepare transactions;
(d) suspend or restrict access generally or for particular users, categories or places, including as a precaution; and
(e) stop providing Buttpad altogether, permanently, with or without notice, for any reason or for none.
We will give notice of significant changes where that is reasonably practicable and appropriate, but we are not bound to and circumstances may not allow it. We are not liable to you or anyone else for any change, suspension, interruption or discontinuation or for anything that follows from it. A Created Token exists on a public network independently of Buttpad, and Buttpad ceasing to exist does not, by itself, affect it.
16. Information and Privacy
We handle information in accordance with this section. The summary below describes those practices.
We collect and process information that is needed to operate, secure, maintain, support and improve the Site, to communicate with you, and to meet obligations that apply to us. That may include wallet addresses, the details you submit about a Created Token, transaction identifiers, and technical information about your device and connection. We aim to collect what is reasonably necessary for those purposes and no more.
We keep information for as long as is reasonably necessary for the purpose it was collected for, for as long as we are required or permitted to keep it, and for as long as is appropriate in connection with disputes, enforcement of these Terms, record keeping, and the security and integrity of the Site. Retention differs by category and by circumstance. Information may persist in backups, archives, logs and derived records after it is deleted elsewhere, and may be kept indefinitely in aggregated or de-identified form.
Information may be processed and stored in places other than where you are, including by service providers acting for us. We take appropriate steps in relation to those arrangements.
Where information is recorded on a public network or in public storage, it is beyond our control. It is public, it may be permanent, it may be copied, indexed, analysed and correlated by anyone, and neither we nor you can delete, amend or withdraw it. That includes the name, ticker, description, image and links of any Created Token, the address that created it, and the transactions that involve it. Treat anything placed there as permanent and public.
Where you have rights over information about you, you can exercise them through the Site.
17. Disclaimer of Warranties
We take real care in building and running Buttpad, we follow practices we consider appropriate to its nature and scale, and we work to keep it secure, accurate and functional. Those efforts are genuine. They are not a guarantee.
To the fullest extent permitted by applicable law, the Site, its Features and all content, integrations and material made available through it are provided "AS IS" and "AS AVAILABLE", with all faults, and without any warranty, representation, condition, undertaking or term of any kind, whether express, implied, statutory or otherwise.
Without limiting that, we disclaim every implied warranty and condition of merchantability, satisfactory quality, fitness for a particular purpose, title, quiet enjoyment, non-infringement and accuracy, and every warranty arising from course of dealing, course of performance or usage of trade.
We do not warrant or represent that:
(a) the Site will be available, uninterrupted, timely, secure, complete or free of error;
(b) any defect, vulnerability or error will be found, disclosed or fixed;
(c) the Site or any connected system is free of harmful components;
(d) any information shown, including any balance, count, price or list, is accurate, current, complete or fit for any purpose;
(e) any transaction prepared through the Site will be accepted by your wallet, confirmed by the network, or produce the result you expect;
(f) any Created Token will be displayed, listed, tradable, or treated in any particular way by any External Service; or
(g) any External Service will function, remain available, behave as expected or act in your interests.
No advice or information obtained from us, whether spoken or written, creates any warranty that is not expressly stated here.
Some places do not allow certain warranties or implied terms to be excluded. Where that is so, the exclusions above apply only so far as permitted, and you may have rights these Terms do not affect. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited.
18. Extent of Our Liability
This section divides risk between you and us. Please read it with care. Buttpad is made available on the basis of it, and the arrangement between us reflects it.
To the fullest extent permitted by applicable law:
(a) we are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profit, revenue, business, opportunity, anticipated saving, goodwill, reputation, data, use or value, however it arises, whether or not foreseeable, and whether the claim is framed in contract, tort (including negligence), strict liability, statute or otherwise, even if we were told it might happen;
(b) we are not liable for any loss, damage or harm arising from or connected with: your use of or inability to use the Site; any interruption, suspension, change or discontinuation; any act or omission of any third party, including any independent participant, market actor, launcher or holder of a Created Token, automated system, malicious actor or External Service; any unauthorised access to or use of any system, wallet, key or record; any error, defect, vulnerability, exploit, delay, failure or inaccuracy; any transaction or instruction, including one that is mistaken, misdirected, irreversible or intercepted, and including any creation cost or network fee you pay for a transaction that fails; any reliance on information shown; any change in the value, liquidity, availability or treatment of anything, including any Created Token; any matter arising on a public network; or any cause beyond our reasonable control; and
(c) our total aggregate liability arising out of or in connection with these Terms and the Site, for all claims taken together, will not exceed one hundred US dollars (USD 100).
These limits apply even if a remedy is found to fail of its essential purpose. Some places do not permit certain limits, in which case the above applies to the fullest extent permitted and the rest is unaffected. Nothing in this section limits any liability that cannot lawfully be limited.
19. Your Indemnity
You agree to indemnify, defend and hold harmless creator, its affiliates, and their respective officers, directors, employees, contractors, agents, licensors and representatives from and against every claim, demand, action, proceeding, loss, liability, damage, cost and expense, including reasonable legal fees, arising out of or connected with: your use of the Site; your Submitted Material; any Created Token you prepare or sign for; your breach of these Terms; your infringement of any right of any other person; your dealings with any External Service; or your failure to comply with any requirement that applies to you.
We may take over the exclusive defence and control of any matter covered by this indemnity, at your cost, and you agree to cooperate with us. You will not settle any matter affecting us without our prior written consent.
20. Events Beyond Our Control
We are not liable for any delay or failure to perform caused by anything beyond our reasonable control, including acts of nature, fire, flood, epidemic, war, civil unrest, terrorism, labour conditions, failure of utilities, telecommunications or internet infrastructure, failure or unavailability of any network, protocol, dependency, storage service, provider or supplier, attack, exploit, malicious conduct, governmental or regulatory action, and changes in law.
21. Duration and Ending
These Terms apply from your first use of the Site and continue until they end.
You may stop using the Site whenever you like, which ends these Terms in respect of your future use. It does not affect any Created Token, which exists on a public network independently of both you and us.
We may suspend, restrict or end your access, wholly or partly, at any time, with or without notice, for any reason or for none, including where we consider it appropriate for the protection of the Site, of other users or of us.
When these Terms end, your licence ends and your access stops. Any Submitted Material or record connected with you may be hidden, restricted or removed from the Site without compensation, although copies already published to public networks or storage will remain there. Provisions that by their nature should survive will survive, including Sections 2, 4, 8, 9, 10, 11, 12, 13, 14, 16, 17, 18, 19, 20, 21 and 22.
22. Disputes, Governing Law and General Terms
22.1 Talk to us first. If something goes wrong, please contact us through the Site before anything else. Most matters can be sorted out quickly and informally, and that is how we would prefer to handle them. You agree to allow a reasonable time for good-faith resolution before starting any formal proceeding.
22.2 Governing law. These Terms, and any dispute arising out of or connected with them, including non-contractual disputes, are governed by applicable law, without regard to conflict-of-laws rules that would point elsewhere.
22.3 Forum. Any formal proceeding shall be brought in a court of competent jurisdiction.
22.4 Individual claims only. So far as permitted, disputes are resolved individually and not as a class, collective, consolidated or representative proceeding. If that restriction cannot be enforced for a particular claim, that claim is severed and heard in the applicable forum, and the rest of this section continues to apply.
22.5 Time limit. So far as permitted, any claim must be brought within the time allowed by applicable law after the events giving rise to it, after which it is permanently barred.
22.6 Changes to these Terms. We may revise these Terms at any time. A revised version takes effect when posted, or on any later date it states. Where a change is material we will take reasonable steps to draw it to your attention. Continuing to use the Site after that point is acceptance. If you do not accept a change, you must stop using the Site. Please check the version and date at the top of this document from time to time.
22.7 Severability. If any provision is found invalid, unlawful or unenforceable, it is modified to the minimum extent needed to make it enforceable while keeping its intent, or if that cannot be done, severed. The rest continues in full force.
22.8 No waiver. Failing or delaying to exercise a right is not a waiver of it, and exercising a right once or partly does not prevent exercising it again.
22.9 Assignment. You may not assign or transfer these Terms or any right under them without our prior written consent. We may assign, transfer, delegate or novate these Terms, wholly or partly, freely and without notice, including in connection with any reorganisation, merger, acquisition or transfer of assets.
22.10 Entire agreement and non-reliance. These Terms, with any document expressly incorporated into them, are the whole agreement between you and us about Buttpad and replace every earlier or contemporaneous understanding, communication, representation, statement and piece of material of any kind, spoken or written. You confirm that you have not relied on any statement, representation, assurance, description, expectation or understanding that is not expressly set out in these Terms.
22.11 Independence. Nothing in these Terms creates a partnership, joint venture, employment, agency, trust or fiduciary relationship between you and us.
22.12 No third-party rights. These Terms are for your benefit and ours. Apart from the persons identified in Section 19, nobody else may enforce any part of them.
22.13 Notices. We may give you notice by posting on the Site or by any other reasonable means. Notices to us must be given through the Site.
22.14 Language. These Terms are written in English. Any translation is for convenience only and the English version prevails if there is any inconsistency.
22.15 Headings. Headings are for convenience and do not affect interpretation.
23. Contact
Questions about these Terms can be sent through the Site. We read what we receive and try to reply within a reasonable time, although we cannot commit to a particular response time, and correspondence does not change these Terms.

Tokens created through it carry no function, entitlement or promise from us, and any creator fee they give rise to accrues to the address we designate and to nobody else. No outcome, result, availability, continuity or value is promised to anyone, by anyone, at any time. Independent third parties act independently and are not our responsibility. The decisions you make are yours. Please proceed only on that basis, and only so far as you are comfortable doing so.
